1. ACCEPTANCE OF TERMS
By accessing or using GeriPhorms services, you agree to these Terms.
If you use services on behalf of an organization, you represent authority to bind that organization.

2. DESCRIPTION OF SERVICES
GeriPhorms provides The Keeping Form Program, a subscription-based wellness education service for senior living facilities.
Separate agreements (e.g., Facility License Agreement) may govern specific services and will control in case of conflict.

3. SUBSCRIPTION AND PAYMENT
- Services are billed on a recurring basis
- Fees are defined in applicable agreements
- Payments are non-refundable unless expressly stated
- Failure to pay may result in suspension or termination
- Clients are responsible for timely cancellation

4. ACCEPTABLE USE
You agree not to:
- Violate laws or regulations
- Attempt unauthorized system access
- Disrupt website or services
- Transmit harmful or malicious content
- Copy or exploit content without permission
- Misrepresent or impersonate GeriPhorms

5. INTELLECTUAL PROPERTY
All content and Program Materials are the exclusive property of GeriPhorms LLC.
Unauthorized use is strictly prohibited.

6. NO MEDICAL OR CLINICAL ADVICE
GeriPhorms provides educational content only.
The Program:
- Does NOT provide medical or clinical advice
- Is NOT a substitute for professional healthcare
Facilities are solely responsible for:
- Evaluating appropriateness
- Supervising implementation
- Consulting healthcare professionals
Use of services is at your own risk.

7. DISCLAIMER OF WARRANTIES
Services are provided “AS IS” and “AS AVAILABLE.”
We disclaim all warranties, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
We do not guarantee uninterrupted or error-free service.

8. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
GeriPhorms is NOT liable for:
- Indirect or consequential damages
- Loss of revenue, data, or opportunities
Total liability is limited to the greater of:
- $100 USD, OR
- Total fees paid in the previous three (3) months

9. INDEMNIFICATION
You agree to indemnify and hold harmless GeriPhorms from any claims arising from:
- Your use of services
- Violation of these Terms
- Misuse of Program Materials
- Failure to supervise or implement content properly

10. SERVICE AVAILABILITY
We may:
- Modify or discontinue services
- Perform maintenance without notice
- Suspend access for violations
We are not liable for interruptions.

11. TERMINATION
We may suspend or terminate services if:
- Terms are violated
- Payments are not made
- Continued service presents risk

12. GOVERNING LAW
These Terms are governed by Montana law.
All disputes shall be resolved in Flathead County courts.

13. SEVERABILITY
If any part of these Terms is unenforceable, the remaining provisions remain valid.

14. ENTIRE AGREEMENT
These Terms and any related agreements constitute the full agreement between parties.
